In this role, you will be responsible for managing the Board of Directors Secretary's Office of SMG Swiss Marketplace Group AG and its subsidiaries in Switzerland. Working at SMG means taking ownership from day one. You will be working alongside our Board of Directors (BoD), Senior Managers, and other stakeholders within the legal department and be a regular member to board meetings.
These are your tasks
  • Independent management of the BoD secretary's office, acting as a liaison between the BoD and the Management team
  • Preparing BoD meetings, taking minutes (in English and German) and accurate action tracking and follow-up on all BoD, committee meetings and general assemblies
  • Independently carry out registrations and changes of personnel in the commercial register or other simple registrations and changes to the commercial register and prepare circular resolutions for approval with the BoD
  • Annual planning of all meetings, and end-to-end support of the BoD including travel bookings
  • Act as a liaison between the in-house legal department, the finance department, and the BoD
  • Managing the BoD secretariats of subsidiaries in Switzerland and the shareholder register
  • Ensuring the correct filing and archiving of corporate documents (corporate housekeeping)
This is what you bring to the table

Minimum Qualifications
  • Professional experience in managing an international BoD Secretary Office
  • German and English language skills, both written and spoken, to a native level is mandatory (the language for correspondence and minute taking is English and German)
  • A structured and precise way of working

Preferred Qualifications
  • Further training/education in paralegal / business administration or experience in working in a legal environment like a legal department or law firm is a strong advantage and would be preferred
  • Interest in working in a dynamic, international, and digital environment
  • Strong ability in setting priorities, and working accurately under pressure to shift focus and reprioritise tasks within a fast-paced environment
  • Strong ability to liaise effectively with peers and adapt communication to other levels of seniority
  • You are a fast learner with networked entrepreneurial thinking and good assertiveness
  • Knowledge of Google Workspace is an advantage
  • Discretion when handling confidential information
  • Ability to work successfully and confidently while providing support to high-profile company staff and board members
